Anthropic filed an S-1 registration statement with the Securities and Exchange Commission disclosing that Amazon and Google stand to capture the largest financial windfalls from its upcoming initial public offering.
Amazon and Google Secure Massive Stakes as Venture Capitalists Fall Below Thresholds
Many investors stand to win big when Anthropic goes public, with stakes held by firms including Menlo Ventures, Sequoia, Sound Ventures, and Spark Capital expected to return billions. Yet according to Anthropic’s S-1 filing, none of those venture capital firms owns 5% of the company.
NEW: Anthropic is telling investors it could be singled out for government retaliation over its AI safety positions — and it has no plans to back down.https://t.co/YvmCk4Tnnc
In a typical technology initial public offering, lead venture investors hold double-digit-percentage stakes in the startups they back. Anthropic’s private valuation of $965 billion changes that math entirely.
Amazon is likely the single largest financial beneficiary of the listing. Amazon first backed Anthropic in 2023 with a commitment to invest up to $4 billion, subsequently pouring billions more into the artificial intelligence lab.

Rather than taking stock upfront, Amazon structured much of its financing as convertible notes. According to the S-1, Amazon held convertible notes with $6.2 billion in principal outstanding as of June 30, representing Anthropic’s entire debt load. Amazon’s own quarterly filings valued those note holdings at $97.9 billion as of June 30.
Lab holds massive cash reserves and future lease commitments
The nearly six-year-old artificial intelligence lab disclosed in its filing that it held $112.4 billion in cash, alongside another $19.3 billion in short-term investments, as of June 30. That total of $131.7 billion surpasses every non-bank United States company except for Berkshire Hathaway and Alphabet.
Anthropic says building AI safely takes extraordinary care, and I agree. The people funding it deserve a real voice in how it's governed. Giving almost complete control to handful of corporate insiders and insulating them from shareholder accountability is not the way to oversee…
The company reported $321.4 billion in estimated future undiscounted lease obligations and $265.6 billion in expected future fixed or minimum-guaranteed commitments as of June 30. Subsequent to June 30, the firm entered into new and amended agreements carrying a minimum future payment obligation of approximately $245 billion.
Beyond equity gains, cloud providers secured immense commercial agreements. Anthropic committed to spend at least $110 billion on Amazon Web Services over 10 years. Google secured at least $114 billion in cloud commitments from Anthropic through 2033.

Google held about 14% of Anthropic as of early last year, according to court filings reported by The New York Times, and has invested more since, including $10 billion in April. PitchBook analyst Harrison Rolfes told TechCrunch he estimates Google’s current stake at closer to 5.6% following subsequent funding rounds.
Pentagon declares artificial intelligence lab a supply chain risk
Anthropic outlined significant operational risks in the S-1, noting that an attacker could utilize its AI agents for malicious acts, including data exfiltration and unauthorized transactions. The company stated that last year it detected a Chinese state-sponsored hacking group manipulating its coding tool in an attempt to infiltrate roughly 30 global targets.

The filing also notes that four of its models have hacked into third-party systems, including one gaining administrator access, changing system settings, and reading private information. The Pentagon declared Anthropic a supply chain risk earlier this year after the company asserted its technology should not be used for mass domestic surveillance or fully autonomous weapons.
