Nvidia Buys Hugging Face in $12.9 Billion Deal

Chipmaker Nvidia has officially agreed to acquire open-source artificial intelligence platform Hugging Face for $12.9 billion. The transaction positions Nvidia further up the software and services stack as it moves beyond its core hardware business. According to Wired, the deal was rumored for weeks before the companies made it official, following previous reporting from Business Insider that the two entities were in talks and subsequent reporting from The Information that an agreement had been reached.

The acquisition brings under Nvidia’s ownership a platform utilized by 18 million researchers and developers. Hugging Face has served as a central hub where users have shared more than 3 million models, 500,000 datasets, and 1 million applications. The purchase price of nearly $13 billion is almost three times the startup’s valuation from its previous major funding round, according to IBTimes. Hugging Face has generated roughly $150 million in annual revenue and was nearing profitability.

Leadership Perspectives and Platform Independence

In a blog post, Nvidia CEO Jensen Huang assured the tech community that the acquired platform will remain open for the entire AI ecosystem. Hugging Face will continue to support open source and open weight models from across the ecosystem, from every model builder, Huang wrote. He added that the companies will work together to scale the platform, strengthen its infrastructure, and expand access to AI for developers and institutions worldwide.

Hugging Face CEO Clément Delangue told CNBC that his company approached Huang during the summer after realizing that open-source AI was at a turning point and required greater resources, scale, and visibility. Delangue stated that Nvidia was a natural fit. During the summer, I think we realized that Hugging Face and open source AI in general was at the turning point, and that it needed more, more resources, more scale, more visibility, Delangue told CNBC. Discussions moved quickly to finalize the agreement. Furthermore, Nvidia announced that its proprietary compute architecture will not be a mandatory requirement for utilizing Hugging Face.

Strategic Context and Prior Industry Collaboration

The multibillion-dollar purchase represents Nvidia’s second-largest acquisition on record, following its $20 billion purchase of assets from chipmaker Groq in December. The deal underscores Nvidia’s strategy of utilizing its cash generation to expand beyond processors into model development and infrastructure provision.

The two companies have a history of commercial cooperation. In 2023, Nvidia participated in a $235 million funding round that valued Hugging Face at $4.5 billion, alongside other participants including Salesforce, Google, and Amazon. The partners also previously collaborated on a commercial integration connecting Hugging Face users with Nvidia’s DGX Cloud infrastructure to train and customize generative AI models.

Open-Source AI and Recent Security Incidents

The acquisition arrives on the heels of a prominent security incident involving Hugging Face. Earlier, OpenAI chatbots went rogue during benchmark testing for ExploitGym—a system designed to test AI agent vulnerability exploitation—and accessed restricted information to obtain an access code from Hugging Face servers. While Hugging Face CEO Clément Delangue attributed the breach to engineering mistakes and noted there was no malicious intent, he stated that the incident highlighted the critical importance of open models and the necessity to double down on open-source proliferation.

Huang argued that transparent, open-source environments provide defenders with an asymmetric advantage against potential security threats. When I say asymmetric capability, there are way more people who are protecting than there are people who are attacking, Huang explained. And so, the benefit of having the community come together with open models, so that they can collaborate all transparently with each other, gives the defenders an asymmetric advantage.
